Ranbaxy halts generic Lipitor production after recall: FDA

(Reuters) - Indian generic drugmaker Ranbaxy Laboratories will stop manufacturing its version of Pfizer Inc's cholesterol fighter, Lipitor, while it gets to the bottom of the cause of a recent recall, the U.S. Food and Drug Administration said on its website.

Earlier this month, Ranbaxy recalled certain lots of the widely used cholesterol lowering medicine known generically as atorvastatin at doses of 10 milligrams, 20 mg and 40 mg after the company discovered contamination with tiny glass particles.

There have so far been no reports of patients being harmed due to the glass particulates, the FDA said.

The agency said it does not anticipate drug shortages due to the recall as several other companies also produce generic Lipitor, while Pfizer still sells its branded version.

FDA said it was monitoring the situation and working with other manufacturers to ensure adequate supply in order to avoid shortages of atorvastatin as a result of the recall.

During its first six months on the market, when it enjoyed marketing exclusivity, atorvastatin generated sales of nearly $600 million for Ranbaxy, according to Bhagwan Singh Chaudhary, a research associate at the brokerage IndiaNivesh

FDA said it will continue to oversee the recall process and work with the Ranbaxy to resolve pharmaceutical quality issues.

The recall is the latest in a series of manufacturing problems at Ranbaxy, which is operating under heightened scrutiny due to past problems that nearly derailed it ability to sell atorvastatin in the United States.

In 2008, the FDA banned the company from importing about 30 drugs after it found manufacturing deficiencies at two of the company's facilities in India, and Ranbaxy was later accused of falsifying data used in drug applications.

Under a proposed settlement earlier this year, Ranbaxy agreed to engage a third party to conduct a review of its facilities, implement procedures to ensure data integrity in its marketing applications, and ensure it meets good manufacturing practices.

An anonymous reader writes "A story at the BBC explains how the UK government has put an extra clause into a funding bill to ensure that any new 'free schools' (independent schools run by groups of parents or organizations, but publicly-funded) must teach evolution rather than creationism or potentially lose their funding. 'The new rules state that from 2013, all free schools in England must teach evolution as a 'comprehensive and coherent scientific theory.' The move follows scientists's concerns that free schools run by creationists might avoid teaching evolution. Sir Paul Nurse, president of the Royal Society, said it was 'delighted.' Sir Paul told BBC News the previous rules on free schools and the teaching of evolution versus creationism had been 'not tight enough.'"

There can be little other news that is more devastating to man, than to discover that his wife has cheated on him and has been having an affair with another man. Yet, if you believe what you see on TV commercials, you?ll end up thinking that you will get more sex, love and respect from your woman if you do the housework and stay out of her way?or else she?ll get mad!

Insight: How a desperate HP suspended disbelief for Autonomy deal

SAN FRANCISCO/NEW YORK/LONDON (Reuters) - For Leo Apotheker, the former Hewlett-Packard CEO, a July 2011 meeting with Autonomy founder Mike Lynch at a chic seaside resort in France was pivotal to his effort to remake a storied technology giant.

In the nine months since taking the helm at HP, Apotheker had tried furiously to find a way to move the lumbering company away from its low-margin computer hardware business and into the lucrative corporate software and services arena. Apotheker was looking for a big, transformative acquisition, two people familiar with the situation said, and after overtures to several companies went nowhere, he set his sights on Autonomy.

After two months of negotiations on what was known at HP as "Project Tesla," Apotheker sat down with Lynch at a hotel in Deauville on the Normandy coast - and shook hands on what would become an $11.1 billion deal.

The Autonomy takeover was indeed a bombshell - but not in the way that Apotheker had hoped. When it was announced in August 2011, HP's stock plummeted amid withering criticism of the price tag. Within weeks, Apotheker was out of a job. Within months, Lynch and his new masters at HP were at war.

Inside a year, Lynch had been forced out and HP was investigating allegations of major accounting irregularities at Autonomy. That culminated in HP saying last week it was writing off more than three-quarters of the value of Autonomy, and telling U.S. and UK regulators about alleged accounting fraud.

The implosion of the Autonomy deal has raised questions about how HP and its army of lawyers, accountants and investment bankers could have overlooked warning signs and gone ahead with the acquisition.

Reuters spoke with close to a dozen people directly connected with the deal or the accounting investigation. The picture that emerges is of a company so desperate to plot a new course that it may have been far too accepting of Autonomy's published and audited accounts.

It has also cast a shadow over Lynch, widely regarded as a brilliant but difficult executive; he left HP in May and has flatly rejected the company's claims of accounting shenanigans or that HP had been deliberately deceived.

CEO'S ROCKY REIGN

Apotheker's appointment as CEO of HP in November 2010 was greeted even at the time with head-scratching - and criticism. A veteran of the German corporate software maker SAP, he had no obvious qualifications to run HP - a company with sales several times SAP's - especially given his lack of experience in the computer hardware business.

But the U.S. company was reeling from a series of boardroom imbroglios that culminated in the firing of then-CEO Mark Hurd in a sexual harassment scandal in August 2010.

Apotheker went on the acquisition trail almost immediately, even though previous HP takeovers like Compaq and Palm had not worked out well. He was given the mandate of moving HP in a new direction - software seemed logical given the decline in HP's traditional computer business - and felt the need for a transformative acquisition to do that, according to one of the sources.

He "knocked on a number of doors," according to another of the sources, looking as far and wide as the telecom software companies Comverse Technology and Amdocs, and corporate software maker Tibco Software.

It's not clear how far talks with those three progressed. According to one of the sources, HP backed off from Comverse because the company was not current with its published accounts and because of previously disclosed involvement in an options accounting scandal. HP could not agree on a price with Tibco, and Amdocs rebuffed it, saying the time wasn't right for a deal.

Spokespeople for Amdocs and Comverse declined to comment. Tibco did not respond to requests for comment.

Apotheker then set his sights on Autonomy. It was a pioneer in the up-and-coming field of "big data" - software that can separate the wheat from the chaff in huge mountains of corporate data - and could serve as a centerpiece for the new strategy.

This time, Apotheker was determined not to miss out.

He was "not being able to really have anybody dance with him at the right price," said the source with direct knowledge of the deal. "What happened is he talked to Autonomy and they got into a dialogue and he told the board that we have to do something," this person said. "It was out of frustration and desperation to a large degree."

HP began looking at Autonomy in earnest around May last year, bringing in investment bank Barclays as adviser. Boutique investment bank Perella Weinberg Partners had already been hired to look at ways of restructuring HP's businesses.

In early July of 2011 the board met to do a two-day review of the rationale behind the acquisition. During that process, the board set guidelines for the deal, including the price, and agreed on a process to do due diligence, two people familiar with the process said. It voted to enter into negotiations at the end of the two days.

DEALMAKER

Throughout the process, Apotheker remained in direct contact and consulted with HP Chairman Ray Lane, the person said, adding that Lane - a former top executive at software giant Oracle - encouraged management to proceed with the deal.

By the end of July, Apotheker and Lynch - who were previously acquainted because HP was an Autonomy customer - narrowed down financial terms at the hotel in Deauville, though didn't finalize the price.

Also present was then HP chief strategy officer Shane Robison, who has been credited by HP with being the main architect of many of HP's larger deals, including another troubled acquisition - its purchase of technology services firm EDS. Robison was pushed out of HP shortly after Apotheker left last year.

At the meeting, Apotheker presented HP's view about putting the companies together - with Robison chipping in when needed, one source said. Robison, who has not spoken publicly about Autonomy's accounting issues, did not respond to requests for comment sent to representatives at Fusion-io and Altera Corp, companies where he is a board member.

For some weeks, both sides went back and forth on the price, with Robison playing a pivotal role in pitching the deal internally, and getting it finalized. Inside HP, it was seen as Apotheker's and Robison's deal, the sources said.

In the end, uber-dealmaker Frank Quattrone, whose Qatalyst Partners was representing Autonomy, proved instrumental in securing for its shareholders the lofty price tag, according to another source familiar with the negotiations.

While the price haggling was going on, a large due diligence team numbering in the hundreds, including internal HP staff from all relevant departments like finance, poured over Autonomy's books, examined contracts, and interviewed Autonomy's top executives, sources said. External experts involved in the process included accounting firm KPMG, law firms and bankers.

Due diligence was seen being straightforward as Autonomy had been filing its accounts publicly and they had been audited. One source said the month-long process was extensive and meticulous but nothing special.

SHORT SELLER

During this time, HP posed a litany of questions to Lynch and Autonomy Chief Financial Officer Sushovan Hussain about accounting rumors surrounding the company, one of the sources knowledgeable with the deal said. But Autonomy executives provided explanations for all of them, this person said.

HP would not elaborate on the specific issues it raised. But questions about Autonomy's books had surfaced as early as 2009, when renowned short seller Jim Chanos identified Autonomy's shares as a shorting opportunity based on concerns such as how reported margins of around 50 percent did not seem to translate proportionately into cash flow.

His other concern was how it could report double-digit growth in software license revenue while rivals battled shrinking sales, according to a source familiar with his views.

Asked on CNBC last week about whether the board had discussed with Apotheker the speculation about Autonomy's books, HP's current CEO Meg Whitman said: "Not when I was on the board. What I do know is that after we announced the acquisition there were a number of blogs that came to the fore about potential issues at Autonomy. The former management team ran that to ground and came up with the conclusion that there was nothing there."

HP officials now say they were deceived.

Apotheker said last week he was "stunned and disappointed" to learn of Autonomy's alleged accounting issues. He declined to be interviewed for this story through a spokesperson.

As the deal was being considered, HP CFO Cathie Lesjak did raise questions about HP's ability to pay such a high price and whether it could integrate Autonomy well, sources said.

Lane said the board approved the deal based on the recommendation of management. "That recommendation was based on misleading audited financial statements and misrepresentations made by Autonomy's executives," he said in an email. "In hindsight, we shouldn't have done the Autonomy deal at such a high price. We were lied to and as a result, we got it wrong."

By the time the deal was agreed, though, Apotheker was already running out of time. He had wanted to sell HP's personal computer business but was unable to complete a deal. He announced a strategic review of the division - to the horror of many employees and the consternation of some of its customers.

That misstep, along with series of missed financial targets, led to Apotheker's firing in September 2011 - before the Autonomy deal had even closed. Board member Whitman - who had voted in favor of buying Autonomy - then took over as CEO. The acquisition still went ahead - and quickly went south.

BRUTAL CULTURE CLASH

The clash between HP's polite, slow-moving bureaucracy and Autonomy's in-your-face sales culture could not have been starker. Lynch also chafed at his new, subordinate position, according to the sources. He routinely shut HP management out of key decisions and - true to his company's name - resisted full integration with HP. He complained constantly about red tape.

After he was forced out in May of this year, Lynch returned to HP in June to discuss severance. But he found himself on the receiving end of a barrage of questions about Autonomy's accounting, sources briefed on the investigation told Reuters.

HP General Counsel John Schultz quizzed Lynch specifically on a range of accounting items, including at least three sales deals from a couple of years before, one of the sources said. Lynch's reply to most questions was that Deloitte, its auditor, signed off on various items, or he could not remember specifics.

"If there were no problems, he could have explained it," one of the sources said. "He simply refused to have the conversation."

But Lynch was caught unaware: Hence he did not have information about those deals at hand, said a source familiar with his version of events. Lynch's spokeswoman said that the allegations HP made last week "were not put to him in June."

The legal struggle has only just begun. HP has handed documents over to the U.S. Securities and Exchange Commission and the UK Serious Fraud Office, and the U.S. Department of Justice is also involved, a source told Reuters last week.

HP also on Tuesday threatened legal action against parties involved, though stopped short of naming targets. HP has challenged Lynch to answer questions under penalty of perjury.

"He ran this company like a small private company, he was involved in all facets of the company, he was extremely hands on," said a source close to the matter who knew the former Autonomy CEO. "For Lynch not to know about this, if it is truly happening, would be far-fetched."

White House, Congress talk as 'fiscal cliff' nears

WASHINGTON (AP) ? An end of the year deadline rapidly approaching, President Barack Obama and Republican House Speaker John Boehner conferred briefly Wednesday night on how to avert the economy-rattling "fiscal cliff," their first one-on-one discussion in five days.

Obama and Boehner's 15-minute phone call came amid increasing anxiety that the White House and top Republicans are wasting time needed to negotiate a way out of a series of tax increases and spending cuts due to begin in January. Treasury Secretary Timothy Geithner and senior White House aide Rob Nabors were also to visit separately Thursday with the four leaders of the House and Senate.

There has been little evident progress in negotiations between the two sides. Republicans complain that the White House is slow-walking the talks and has yet to provide specifics on how Obama would curb the rapid growth of benefit programs like Medicare and Medicaid.

"We have not seen any good-faith effort on the part of this administration to talk about the real problem that we're trying to fix," said House Majority Leader Eric Cantor, R-Va.

Obama is mounting a public campaign to build support and leverage in the negotiations, appearing at the White House with middle-class taxpayers and launching a campaign on Twitter to bolster his position.

"Right now, as we speak, Congress can pass a law that would prevent a tax hike on the first $250,000 of everybody's income," Obama said. "And that means that 98 percent of Americans and 97 percent of small businesses wouldn't see their income taxes go up by a single dime."

Obama is insisting that tax rates go up on family income exceeding $250,000; Boehner is adamant that any new tax revenues come from overhauling the tax code, clearing out tax breaks and lowering rates for all.

Republicans are also demanding significant cuts to so-called entitlement programs like Medicare, such as an increase in the eligibility age for the program from 65 to perhaps 67.

"It's time for the president and Democrats to get serious about the spending problem that our country has," Boehner said at a news conference Wednesday in the Capitol. Boehner, like Obama, expressed optimism that a deal could be reached.

At issue are steep, across-the-board cuts to the Pentagon and domestic programs set to strike the economy in January as well as the expiration of Bush-era tax cuts on income, investments, married couples and families with children. That combination of tax increases and spending cuts would wring more than half a trillion dollars from the economy in the first nine months of next year, according to the Congressional Budget Office.

No one anticipates a stalemate lasting that long, but many experts worry that even allowing the spending cuts and tax increases for a relatively brief period could rattle financial markets.

From their public statements, Obama and Boehner appear at an impasse over raising the two top tax rates from 33 percent and 35 percent to 36 percent and 39.6 percent. Democrats seem confident that Boehner ultimately will have to crumble, but Obama has a lot at stake as well, including a clear agenda for priorities like an overhaul of the nation's immigration laws.

Obama is also meeting privately Thursday with his defeated Republican rival Mitt Romney. The president has cast his victory over Romney as a sign that Americans back his tax proposals, which were a centerpiece of his re-election campaign.

While in Washington, Romney will also meet with his former running mate, Rep. Paul Ryan. The Wisconsin congressman is chairman of the House Budget Committee and deeply involved in the fiscal cliff discussions.

Negotiation Style ? Commitment Matters

Earlier this week, I was reminded of a survey that IACCM undertook a few years ago exploring member attitudes to negotiation style. One of the key discoveries was that almost half were not even aware of the ?positional? and ?principled? terms that were used in the seminal work on negotiation, ?Getting to Yes?.

The reason I re-discovered the study was because of a question from?three MBA students at the Norwegian School of Entrepreneurship, who are studying what frameworks business managers and negotiators use when planning or conducting negotiations.

On reflection, I had to admit that I don?t spend much time thinking about these questions of style, because I?believe most b2b negotiations tend to be a hybrid. Also,?a discussion of preferred style seems to imply far more planning by the average negotiator than is really the case. In my experience, they are more often driven by the broader policies and practices of the organization than by any personal propensity for negotiating style. So, for example, if the company operates with strong ?powers reserved? by specific functions, the style is largely one of stone-walling.

Many large businesses?appear driven more by concepts such as avoidance, assertion or compromise. Value trading tends to be eliminated because of management and measurement systems.
Also, we have to bear in mind the fundamental shifts that there have been in business operations in the last 15 years, none of which?are adequately?reflected in current literature. Specifically, the globalization of trading relationships and the intervention of networked technologies have fundamentally changed the framework for negotiation. Things like e-auctions have altered the playing field for negotiability; communication technologies and distance have made most negotiations virtual; the growth of specialisms has rendered negotiation far more defensive and iterative (rather than holistic); and procurement practices have eroded trust and loyalty between trading partners. In addition, ERP systems have created a set of enterprise standards that create complexity for one or both sides ? the challenge of ?what happens when ERP meets ERP?.

Overall, the nature and scale of complexity that faces negotiators today means that the rationality implied by concepts such as ?positional and principled? just doesn?t exist. Even if I want to be collaborative and open, the barriers to achieving it are often simply too great. In either preparing for, or observing during, a business-to-business negotiation, I have to understand not only the personal character of the various negotiators, but also the measurements that motivate them and the ?organizational culture? that will eventually affect not only this negotiation, but also the subsequent performance of the contract. It is a complicated mix ? and rather defies the theories of specific style.

At what point does Rajon Rondo transfer his anger from Kris Humphries to Kevin Garnett? Or will the Boston Celtics' point guard just be upset with himself after he sees a replay of the ruction under the rim that resulted in his ejection during a game against the Nets and cost him a record that he's been chasing for months?

With the Celtics trailing, 51-35, late in the second quarter on Wednesday night, Rondo reacted to a foul on Kevin Garnett committed by Nets forward Kris Humphries by instigating a brief scuffle. Although replays (and this lovely SB Nation GIF) suggest that Garnett may have flopped after absorbing contact from Humphries on a drive into the paint, Rondo only saw his teammate hit the floor. He heaved Humphries back under the rim. Teammates from both sides rushed toward the shoving match and the scrum spilled into the seats. When the referees finally settled everything down, Rondo, Humphries and Gerald Wallace were all ejected from the game.

"Rondo initiated everything that proceeded after the foul," referee James Capers said in a post-game statement, via Boston.com. "And when he and Humphries go into the stands, they are involved in a fight. Fighting is an automatic ejection."

Whether it was a flop or a hard foul that sent KG to the parquet floor, Rondo's reaction snapped his streak of 37 consecutive games with at least 10 assists. Rondo's streak is tied for 2nd on the all-time with John Stockton. The team had made no secret that he was chasing Magic Johnson's record of 46 games with double-digit dimes. During a blowout loss to Detroit Pistons earlier this season, Celtics coach Doc Rivers admitted that he put Rondo back into a game just to keep the streak going.

Japan halts beef imports from one U.S. meat plant

TOKYO (Reuters) - Japan on Thursday stopped importing beef from a U.S. meat plant after American authorities failed to confirm that beef from the plant without proper documents met Japan's safety requirements on the U.S. origin, the health and farm ministries said.

Cargoes of beef from a plant of Cargill Inc in Schuyler, Nebraska, which arrived Tokyo on November 22, included a package without quarantine documents, and the two ministries asked the U.S. authorities to confirm the age of the cattle concerned.

The import halt came after U.S. authorities said they could not confirm the beef met Japan's requirements of cattle aged 20 months or younger, the two ministers said in a joint statement.

Japan is on the way to relaxing the regulations to cattle aged 30 months or younger, as its food safety watchdog said in a report to the government in October that the risk from doing so would be negligible to human health.

The rules, imposed in 2005 after the outbreak of mad cow disease, known as bovine spongiform encephalopathy or BSE, have caused U.S. imports to plunge and Australian beef to gain market share in Japan's 500,000 metric tons-a-year (551,160 tons) imported beef market.

Japan and U.S. governments were currently in talks on relaxing the age of cattle for U.S. beef imports to Japan and the timing and other details were not yet fixed, a health ministry official said.

Health Insurance Stock Outlook - Nov. 2012

The health insurance industry has confronted many external challenges in the recent past, such as an uncertain regulatory environment, a challenge to meet the demand of more price- and service-conscious consumers, a fiercely competitive market, shifts in customer mix and a slowly recovering economy, just to name a few.

Notwithstanding the headwinds, the industry continued to remain profitable with the top six players -- UnitedHealth Group Inc. (UNH - Analyst Report), CIGNA Corp. (CI - Analyst Report), WellPoint Inc. (WLP - Analyst Report), Aetna Inc. (AET - Analyst Report), Humana Inc. (HUM - Analyst Report) and Coventry Health Care Inc. (CVH - Analyst Report) -- reporting earnings growth and delivering positive earnings surprises in the third quarter of 2012.

The earnings performance at each of these players were primarily driven by industry-wide factors like higher enrollment, increasing premium, lower-than-expected medical care utilization and improving commercial insurance pricing. Most of the carriers even raised their 2012 earnings estimates, which reflect optimism for the fourth quarter results as well.

About the Industry

The health and medical Insurance industry is an integral part of the U.S. economy. According to the Centers for Medicare and Medicaid Services, U.S. health expenditures account for about 18% of the country's annual GDP. According to the World Health Organization, health care expenditure per person in the United States is the highest in the world.

Despite huge sums of money spent on health care, millions of Americans lack health insurance coverage or are underinsured. This was largely attributed to a dysfunctional health care system. To rein in the waste and make health care more accessible effective and affordable, President Obama pushed health care reform in an attempt to overhaul the nation?s ailing health care system.

Health Care Overhaul

The Patient Protection and Affordable Care Act (PPACA) was passed in 2010 and marked the beginning of a multiyear implementation process. It is the most substantial overhaul in the history of the nation's health care sector.

The reform was intended to provide coverage to the 32 million uninsured Americans, to make health care facilities more affordable, expand coverage for customers with pre-existing health conditions and keep a check on health insurers.

Certain significant provisions of the legislation were: mandated coverage requirements, rebates to policyholders based on minimum benefit ratios, adjustments to Medicare Advantage premiums, the establishment of state-based exchanges, greater investment in health IT, annual insurance industry premium-based assessment, reduction in Federal assistance on Medicare Advantage, restriction on rescission of policies and elimination of annual as well as life time maximum limits.

The Reform has endured rough patches since its inception, with opponents challenging its individual mandate and Medicaid expansion clause and dragged it to the courts. Insurers were lobbying against most of its provisions and opposition political parties swore to repeal the whole law if they were elected.

But the law survived the challenges with Supreme court upholding the constitutionality of its individual mandate -- the core of the reform. Also, Obama's re-election provides ratification to the health care reform. That said, the full implementation of the reform is far from guaranteed given the substantial leeway states enjoy in enforcing key parts of the legislation, particularly the setting up of exchanges and expansion of Medicaid.

The Changing Face of the Health Insurance Industry

The re-election of President Obama means his signature Health Care law is likely here to stay, putting behind the major ambiguity prevailing over the industry. Obama?s second term will see major implementation of key provisions. However, in the short- to mid-term there is some uncertainty over how regulatory reform will play out.

So far, the carriers in the industry have handled the impact of implementation of some of the less onerous provisions of the reform (relating to MLR requirements, ban on denial of coverage due to pre-existing conditions, dependent coverage up to age 26 and annual rate review) relatively well.

For the moment, the biggest wild card in the regulatory reform is how the law?s biggest and most impactful provisions (relating to setting up of insurance exchanges, individual mandate, ICD-10 requirements, pre-existing conditions, Medicaid expansion, an annual insurance industry assessment of $8 billion in 2014 with increasing annual amounts thereafter), which are due to be implemented in 2014, will effect the industry.

Exchanges will act as an online marketplace where consumers who are underinsured or uninsured will be able to shop for subsidized coverage, and small businesses can buy more affordable plans for their workers. A key risk to insurers is that insurance exchanges will lead to commoditization of insurance products, making product offerings highly standardized. This product standardization along with a framework for strong government price regulation will expectedly lead to very low profit margins for the carriers in the long run.

While the individual mandate provision will bring into the loop approximately 32 million uninsured, the gain in revenue due to increasing industry enrollment is expected to be offset to a large extent by the costs to realign their business to comply with the new rules (ICD-10 coding) and deal with other challenges.

Several provisions in the Health Reform Legislation -- excise tax on medical devices, annual fees on prescription drug manufacturers, enhanced coverage requirements and the prohibition of pre-existing condition exclusions -- will likely increase insurers' medical cost trends. Moreover, the annual insurance industry assessment, which is not deductible for income tax purposes, will increase their operating costs.

In the meantime, rules of the road remain uncertain. Insurers do not know what exactly will be expected of them, what changes they will be forced to implement, or what expenses they might have to incur to meet new data and regulatory demands. Carriers may see potentially game-changing developments threatening their ability to achieve top- and bottom-line growth.

However, the insurers are being proactive, trying very hard not just to survive, but to prosper.

Aiming Toward Global Markets

With organic growth remaining challenging, carriers in the health insurance sector are flocking toward international markets, which specifically appear attractive on account of lesser regulations, higher margins and lower competition. Additionally, pressures on social health care systems along with increasing wealth and education in emerging markets are leading to higher demands for health insurance and financial security. This provides carriers with a vast market opportunity.

Companies like Cigna and Aetna, which have active presence overseas, believe that their international business is a positive differentiator and a key driver of higher-than-peer growth rates. Both companies are targeting penetrating deeper mainly in the emerging economies of Asia and the Middle East.

UnitedHealth?s recent big acquisition of Brazil-based Amil Participacoes for $4.9 billion attests the fact that insurers are actively seeking international exposure. The company already has a significant presence in Portugal, India and the Middle East through joint ventures.

Though the U.S. health insurance industry currently had little international presence until the recent past, insurance firms are fast catching up. We expect to see more international deals going forward.

Medicare Advantage: A Preferred Market

According to U.S. Census data, the population of Medicare beneficiaries will grow by 36% by the end of this decade, led by a vast aging baby boomer population. In September 2012, CMS projected that the entire Medicare Advantage market would grow 11% in 2013.

Until now, only two of the public providers -- UnitedHealth and Humana -- were the primary market share holders. However, consolidation in this market is scrambling market share ratios. Carriers in the health insurance sector are in a race to win Medicare Advantage market share and the fastest way of achieving the target is to acquire a company in the same business.

Some of the examples are Cigna acquisition of HealthSpring Inc., UnitedHealth's acquisition of XLHealth Corp., Aetna?s pending acquisition of Coventry Health Care Inc. and WellPoint?s pending acquisition of Amerigroup Inc. (AGP - Snapshot Report).

Consolidation Continues

Notwithstanding the fact that the health insurance industry has been witnessing copious mergers and acquisitions for the last several years, the landscape created by health care reform has set the stage for further consolidation. In the changed environment, small insurers are becoming inefficient. The inability to achieve the required scale to be profitable is forcing these small players to become acquired.

OPPORTUNITIES

Over the next few years, growth opportunities for the players in the health insurance sector will be driven by:

  • Health expenditure and reliance on managed care gradually increasing. According to the government, national health spending is expected to touch $4.6 trillion by the end of this decade from $2.6 trillion currently, representing a compounded annual growth rate of nearly 7%. This clearly points to the fact that the health care industry will most certainly outstrip broader economic growth. Moreover, over the same time frame, managed care penetration is expected to grow to about 1/2 of the total national health care spending, up from approximately 1/3 at present, driven by increased reliance on insurers in managing government's fee-for-service Medicare and Medicaid products.
  • Recent Census figures show that seniors constitute a larger share of the American population than ever before. This trend will gain steam in the years ahead. Consequently, the aging population is expected to drive industry demand as they would aim to reduce their health-related costs.


We expect most of the companies within our coverage to benefit from the trend. Among others, Cigna Corp. (CI - Analyst Report) with a Zacks #2 Rank (Short-term Buy) and UnitedHealth Group Inc. (UNH - Analyst Report), Humana (HUM - Analyst Report), WellPoint (WLP - Analyst Report), Aetna Inc. (AET - Analyst Report) and Amerigroup (AGP - Snapshot Report) with a Zacks #3 Rank (Hold) will offer good investment opportunities in the upcoming years.

Let's have a quick look at some of these companies:

CIGNA Corp. remains attractive given its strong growth profile in the industry? with its double-digit growing International segment, significant presence in Medicare Advantage book as well as a growing book of commercial self insured business. The company has been putting strong earnings performance and the trend is expected to continue.

Aetna has been beating earnings expectations for the past several quarters on the back of declining utilization, strong performance across all the product lines, disciplined pricing and medical cost trends. The company is also making strong progress in its Medicare business. It is also growing its international business for diversification benefits. A solid balance sheet, well-controlled debt and adequate liquidity will provide overall strength.

WellPoint, a dominant player with a vast provider network, is also poised for solid growth over the longer term. The recent announcement to acquire Amerigroup will make it a top player in the Medicaid business. Other acquisitions in this area include the buyout of CareMore Health Group, which will further expand its presence in the U.S. government program for the elderly. The company has been witnessing substantial earnings growth over the past few quarters, spurred by membership gains, improvements in operating cost structure, strategic acquisitions and capital transactions. The company is also well poised to benefit from economies of scale and favorable demographic trends.

UnitedHealth has also been showcasing a favorable earnings performance for the past many quarters. It has strengthened its position in the Medicare Advantage market with the acquisition of XLHealth. The company's diversified business model, with a leading market share in the Commercial, Medicare, and Medicaid markets, a solid balance sheet, a highly conservative investment portfolio, expansion into higher margin Health Services segments (Optum) and penetration into international markets will provide investors with a high risk-return investment opportunity over time.

WEAKNESSES

Though none of the health insurance stocks under our coverage hold a Zacks #5 Rank (Strong Sell) or Zacks #4 Rank (Sell), we expect the following factors to negatively impact the industry:

New blow for Rice: Moderate senator voices concern

(AP) ? A moderate Republican senator, vital to any White House hopes of getting U.N. Ambassador Susan Rice confirmed as secretary of state, said Wednesday she couldn't back any nomination until more questions are answered about the deadly Sept. 11 attack in Libya and Rice's State Department role during the 1998 U.S. Embassy bombing in Kenya.

In a fresh suggestion of eroding GOP support for Rice, Sen. Susan Collins of Maine emerged from a 90-minute, closed-door meeting with the ambassador voicing new criticism of her initial account about Libya. Collins also questioned what Rice, the assistant secretary of state for African Affairs in the Clinton administration, knew about requests for enhanced embassy security before the Nairobi truck bombing.

Pressed on how she would vote if President Barack Obama names Rice to succeed Secretary of State Hillary Rodham Clinton, Collins said, "I would need to have additional information before I could support her nomination."

President Barack Obama came to Rice's defense during a Cabinet meeting, calling her "extraordinary" and saying he couldn't be prouder of the job she has done as U.N. ambassador. Cabinet members joined Obama in applauding Rice, who attended the meeting. Obama has not named a replacement for Clinton, who has said she intends to step down soon.

At the State Department, Clinton was asked about her possible replacement.

"Susan Rice has done a great job as our ambassador to the United Nations," Clinton said. "Of course, this decision about my successor is up to the president, but I am very happy he has the opportunity with a second term to make a decision."

The misgivings from Collins, the top Republican on the Homeland Security Committee, came one day after three other GOP senators said they would try to block Rice's nomination. Sens. John McCain of Arizona, Lindsey Graham of South Carolina and Kelly Ayotte of New Hampshire said they were more troubled than ever by Rice's answers on Libya even though the ambassador conceded that her much-maligned first explanation was wrong.

In an unusual move, Rice and acting CIA Director Michael Morell have held two days of private meetings with Republican senators in hopes of assuaging their concerns. Privately, Senate Republicans said they had hoped the conversations would quiet the criticism as they want to avoid the spectacle of a postelection challenge to a female African-American nominee.

Instead, the sessions have cast further doubt on her chances for the top State Department job and increased the likelihood of a protracted fight if Obama does choose her. Although Democrats will have 55 votes in the next Congress, the president would need the support of five Republicans to avoid a filibuster of the nomination. Collins would be a prime candidate to help avoid a filibuster of the nomination.

Collins said she was troubled by Rice's "political role" in downplaying the Libya attack as a spontaneous demonstration over an anti-Muslim video rather than a terrorist attack by al-Qaida affiliates in a series of Sunday talk show appearances on Sept. 16 ? five days after the attack and weeks before the election.

U.S. Ambassador Chris Stevens and three other Americans were killed in the raid on the U.S. diplomatic mission.

Rice has said she was relying on talking points provided by U.S. intelligence.

Introducing another issue certain to be fodder for any confirmation battle, Collins said she pressed Rice about security at the U.S. Embassy in Nairobi in 1998 when a truck bomb was set off outside the facility, killing more than 200 Kenyans and 12 Americans.

"What troubles me so much is the Benghazi attack in many ways echoes the attacks on those embassies in 1998 when Susan Rice was head of the African region for our State Department," Collins told reporters after the meeting. "In both cases, the ambassador begged for additional security."

Collins said Rice told her she was not involved directly in turning down the request for improved security. The Maine senator said that in light of Rice's position, she had to be aware of the general threats and U.S. Ambassador Prudence Bushnell's requests for security upgrades in Kenya.

Review boards headed by former Joint Chiefs of Staff chairman Adm. William J. Crowe after the Aug. 7, 1998, bombings of the U.S. embassies in Kenya and Tanzania did not find reasonable cause that any U.S. employee breached his duty in connecting with the bombings. Rice was not blamed.

However, Crowe said the boards believed there was a "collective failure" by several administrations and Congress over a decade to invest adequately to shore up vulnerable U.S. diplomatic missions around the world.

Rice has emerged as the front-runner for the top job at State, though Senate Foreign Relations Committee Chairman John Kerry, D-Mass., passed over for the job in 2008, is considered a strong alternative.

In a clear message to the White House, Collins said Kerry would have no problem winning Senate confirmation.

"I think John Kerry be an excellent appointment and would be easily confirmed by his colleagues," Collins said.

Sen. Bob Corker of Tennessee, who is in line to become the top Republican on the Foreign Relations Committee, was more circumspect about Rice's chances after his own meeting with the ambassador.

The GOP senator suggested that Obama "take a deep breath and nominate the person he really believes is the very best person for secretary of state, regardless of relationships."

Corker, who traveled to Libya in early October, was highly critical of the administration and the intelligence community, saying that "the whole issue of Benghazi has been a tawdry affair."

Democrats have rallied to defend Rice, casting the Republican criticism as political scapegoating.

"You know it's a shame to create a sideshow that seems, I think, very clearly to be very political out of something that really has no bearing on what happened in Benghazi," White House spokesman Jay Carney said Wednesday.

Rep. Adam Schiff, D-Calif., a member of the House Intelligence Committee, called the criticism a "transparent attempt" to deny Obama a potential Cabinet choice.

The issue remained at the forefront as the Senate, in debating a defense policy bill, approved an amendment by McCain that would lead to an increase of up to 1,000 Marine Corps personnel to provide security at U.S. diplomatic missions around the world.
